HiQ was the only company which received a full score in the Swedish Tax Agency’s procurement for services within IT Applications. Following a decision by the Administrative Court of Appeal to reject an appeal, HiQ is once again one of the four companies chosen as winners of the procurement. “It’s a huge thrill for us to know that HiQ is so highly ranked by the Swedish Tax Agency and obtains the trust to continue to help the Ageny to develop systems and services which simplify operations for the tax payers of Sweden”, says Lars Stugemo, CEO and President of HiQ.

The procurement includes services within IT Applications and can be utilised by the Swedish Tax Agency, the Enforcement Authority, the Election Authority, the Swedish E-Identification Board, the Council on Advanced Tax Rulings, and the Taxation of Research Workers Board.

In the contract award decision HiQ has received the highest possible score within all areas by the Swedish Tax Agency. The areas are; Assignment Organization, Analysis and investigation, Agile Teams, Development assignment and Agile Team Java Development. The procurement was appealed by two competing consulting companies to the Administrative Court and then to the Administrative Court of Appeal. The Court of Appeal has now decided to reject first appeal and not to grant a trial permit of the second appeal. The Contract can now be endorsed as soon as the standstill period has expired.

Triton Fund V, through Trisall AB (“Trisall”), controls more than 90 percent of the shares in HiQ International AB (publ) (“HiQ”) and has requested compulsory redemption of the remaining shares in the company.

The Board of Directors of HiQ has, at the request of Trisall, resolved to apply for de-listing of the company’s shares from Nasdaq Stockholm. The last day of trading in the company’s shares on Nasdaq Stockholm will be announced as soon as the company has received confirmation from Nasdaq Stockholm.

Election of Chairman of the Meeting (item 1)
Trisall AB proposes that Ola Sandersson is elected as Chairman of the Meeting.

Resolution regarding the number of members of the Board and deputy members of the Board Directors (item 6)
Trisall AB proposes that the Board, for the period until the end of the next Annual General Meeting, shall consist of three Board members without any deputy members.

Resolution regarding fees for the Board of Directors (item 7)
Trisall AB proposes that fees to the Board of Directors shall be paid according to the same principles as resolved by the Annual General Meeting on 30 March 2020, which include, among other, that the annual fee for each of the Board members should amount to SEK 275,000. The proposal also includes that no fees shall be paid to Board members that are not independent in relation to Triton.

Election of members and deputy members of the Board of Directors (item 8)
Trisall AB proposes election of Thomas Hofvenstam, Magnus Meyer and Ulrich Witt as members of the Board and that Thomas Hofvenstam is elected Chairman of the Board.
